Signing of the agreement to merge Ipack-Ima S.p.A. in Fiera Milano S.p.A.

Following the Press Release of 2 October 2018, Fiera Milano S.p.A. communicates that, today, the official notice of the merger deal of the wholly owned company, Ipack-Ima S.p.A., into Fiera Milano S.p.A. has been filed with the relevant Register of Companies of Milano Monza Brianza Lodi.
The Merger, legally effective from the date of filing with the Register of Companies, is retroactively effective, for accounting and fiscal purposes, from 1 January 2018.
It should be noted that, as Ipack Ima S.p.A. is wholly owned by Fiera Milano S.p.A., and that the conditions exist for so-called simplified merger procedures pursuant to Article 2505 of the Italian Civil Code, the shares representing the Share Capital of Ipack-Ima S.p.A.at the effective date of the merger will be cancelled without requiring the issue of new shares by Fiera Milano S.p.A., and that the said transaction will not therefore require any change in the shareholder structure or ownership structure of Fiera Milano S.p.A.
